Offering consultation and strategy sessions
Providing educational resources, playbooks, and webinars

3. User Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use our Services. By using our Site, you represent and warrant that you meet these eligibility requirements. If you are using our Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

4. User Conduct

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of our content without our prior written consent, except for your personal, non-commercial use.

6. Service Fees and Payment

Clients pay a flat monthly fee for virtual assistant services. Pricing varies based on service level (part-time or full-time) and is communicated during the consultation process. Specific payment terms, billing cycles, and cancellation policies are outlined in individual service agreements.

We reserve the right to modify our pricing at any time, with reasonable notice to existing clients.

7. Disclaimers

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISEVAS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages arising from your use or inability to use the Site or Services
Damages arising from the conduct or content of any third party
Any actions or omissions of virtual assistants placed through our Services

In no event shall our total liability exceed the amount paid by you to WiseVAs in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless WiseVAs, its affiliates, and their respective directors, officers, employees, agents, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Site or Services, your violation of these Terms, or your violation of any rights of another party.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of using our Services. This includes business information, client lists, pricing structures, and any other non-public information. This obligation survives the termination of these Terms.

11. Termination

We may terminate or suspend your access to the Site and Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Site and Services ceases immediately. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Our Site may contain links to third-party websites or services that are not owned or controlled by WiseVAs, including Calendly for scheduling. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. 13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the Site or Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
